SwiftBill Automations LLC – Master Services Agreement

Effective date: July 11, 2025

Parties: SwiftBill Automations LLC (“SwiftBill”, “we”) and the client identified in the applicable Order Form or Statement of Work (“SOW”) (“Client”).

1) Services & Timeline
SwiftBill will deliver a done-for-you automation sprint using n8n/Zapier and related tooling as described in the Order Form/SOW.

**Targets:**
- Business/Complete ≈ **72 hours** from Kickoff to Handoff
- Starter ≈ **48 hours**
Targets assume timely Client participation.

2) Client Responsibilities
Provide an available decision-maker. Supply **2–3 representative sample records**. Grant least-privilege access (Client enters API keys into n8n Credentials or equivalent — no secrets by email). Complete reviews promptly.

- Overdue amounts accrue 1.5%/month (or max allowed).
- SwiftBill may **suspend work** with 5 days’ email notice unpaid.

4) Changes: Out-of-SOW work requires a **written change order** with revised price/timing.
5) Acceptance & Deemed Acceptance: SwiftBill demos in Safe Mode. Handoff=Go LIVE together/verify 5 real records. Acceptance = Passes. No material non-conformity in 5 business days = deemed accepted.

6) Support & Post-Acceptance Changes:
- **30-day defect-only support** for in-scope, remote only.
- Post-acceptance edits (including by 3rd-party API/UI changes) are **out-of-scope** and quoted at regular rates.

- Each party protects Confidential Information.
- Credentials in Client systems; SwiftBill removed at Handoff.
- Subcontractors are bound by confidentiality/security.
- Confidentiality survives 3 years (trade secrets survive while secret).

9) Warranties & Disclaimers:
- SwiftBill warrants professional/workmanlike service.
- 3rd-party services (n8n, Google, Zoom, etc) **”as is”.**
- All other warranties disclaimed to the fullest extent allowed.

- **By SwiftBill:** Defend/indemnify Client from claims SwiftBill’s proprietary templates/snippets infringe US IP right; SwiftBill may modify/replace/refund.

11) Limitation of Liability
- Each party’s liability capped at **fees paid in prior 60 days**.
- Cap does **not** apply to: breach of Confidentiality, indemnity, payment.
- No liability for indirect, incidental, special, exemplary, or consequential damages.

12) Cancellation & Refunds: See **Refunds & Cancellations Policy** (incorporated by reference). **Deposits are non-refundable once Kickoff begins.**

15) Force Majeure: No liability/fault for delays due to events beyond reasonable control. Timelines extend accordingly.
16) Term & Termination: Continues until SOWs complete/terminated. Either party may terminate for material breach if uncured after 10 days’ notice. Pay for completed work; deposits per Section 12.

Refunds & Cancellations

SwiftBill Automations LLC – Refunds & Cancellations

Effective date: July 11, 2025

Deposits. 50% deposit is due at signature. Once Kickoff begins, the deposit is non‑refundable.

Client cancellation:
- More than 24 hours before Kickoff: Refund any amount paid—beyond the deposit.
- 24 hours before or after Kickoff: Deposit forfeited. Any additional prepayment is refunded pro‑rata for unperformed work.

Delivery guarantee. If SwiftBill delays the scheduled Handoff by more than 24 hours (measured from the agreed Handoff start time), excluding delays caused by Client, third-party outages/changes, or force majeure, Client may choose one of the following remedies:
1. Reschedule the Handoff to the next available slot within 3 business days; or
2. Receive a service credit equal to 20% of the unpaid final installment (i.e., 10% of the total project fee). If the project has already been paid in full, the credit equals 10% of the total fee and will be refunded or applied to future services, at Client’s election.

Notes:
- One credit maximum per SOW; credits don’t stack and expire 6 months after issuance.
- This clause doesn’t apply where the delay results from Client dependencies, scope changes, or force majeure.

Defect window: 30 days post‑Handoff, in‑scope defects are fixed at no charge.

Chargebacks: Please contact us to resolve issues. Unauthorized chargebacks may result in suspension of service.
